Terms of Service

These terms govern your use of Proofing Studio. By creating an account or using the service, you agree to them. If you don’t agree, please don’t use the service.

1. The service

Proofing Studio is a tool for photographers to share private, password-protected galleries with clients, let clients select and comment on photographs, and manage those selections. The service is operated by Proofing Studio.

Beta notice: Proofing Studio is currently in beta. It is provided “as is”, features may change, and we may modify or discontinue parts of it. We don’t guarantee uninterrupted or error-free operation during the beta.

2. Your account

  • You must be at least 18 and able to enter into a contract.
  • You’re responsible for keeping your password secure and for activity under your account.
  • Provide accurate information and keep it up to date.
  • Tell us promptly at hello@proofing-studio.com if you suspect unauthorised use.

3. Your content and ownership

You keep all rights to the photographs and content you upload. We claim no ownership of them. You grant us only the limited licence needed to operate the service — to store, process, resize, and display your photographs to you and to the clients you share a gallery with, for as long as you keep them on the service.

4. Your responsibilities for content and clients

By uploading content and entering client details, you confirm that:

  • you own the photographs or have the rights and permissions needed to upload and share them;
  • you have a lawful basis to handle your clients’ personal data (their names, email addresses, and images), and have given them any privacy information they’re entitled to;
  • where photographs include other people, including minors, you have obtained any consent required;
  • you will only email clients who expect to hear from you about their gallery.

5. Data processing (controller and processor)

For the personal data of your clients that you put into the service, you are the data controller and we act as your data processor. We process that data only to provide the service to you and following your instructions, apply appropriate security measures, and do not use it for our own purposes. Our Privacy Policy describes this in more detail and lists the sub-processors we use.

6. Acceptable use

You agree not to:

  • upload or share anything unlawful, infringing, or that you don’t have the rights to;
  • use the service to send spam or unsolicited email;
  • attempt to breach security, access other users’ data, or disrupt the service;
  • resell or rent the service without our agreement.

We may suspend or remove content or accounts that breach these terms.

7. Email sent through the service

When you send a gallery to a client, the email is sent on your behalf through our email provider, with your address set as the reply-to. You’re responsible for the recipients you choose and the content of any message you add.

8. Fees

During the beta, the service may be offered free of charge. If and when paid plans apply, the price and terms will be those shown to you at the time of sign-up or upgrade, and we’ll give reasonable notice of any change.

9. Termination

You can stop using the service and close your account at any time. We may suspend or end your access if you materially breach these terms or if we discontinue the service. On termination you may export or delete your data; after a reasonable period we may delete remaining data, subject to any legal retention requirements.

10. Disclaimers and liability

To the fullest extent permitted by law, the service is provided “as is” without warranties of any kind. We are not liable for indirect or consequential loss, or for loss of data or profits, arising from your use of the service. Nothing in these terms limits liability that cannot be limited under applicable law. You remain responsible for keeping your own copies of your photographs — the service is a proofing tool, not a backup or archive.

11. Indemnity

You agree to indemnify us against claims arising from your content, your handling of your clients’ personal data, or your breach of these terms.

12. Governing law

These terms are governed by the laws of Spain, and any disputes will be subject to the courts of Barcelona, without affecting any mandatory consumer protections you may have.

13. Changes

We may update these terms from time to time. We’ll update the “last updated” date and, for significant changes, take reasonable steps to notify you. Continuing to use the service means you accept the updated terms.
